Repurchase of Morgan Keegan Underwritten Auction Rate Securities
 – Phase I Nearing Completion

In early 2009, Morgan Keegan & Company, initiated a repurchase program for auction rate securities held in Morgan Keegan accounts. The initial phase of the program has focused on auction rate securities that Morgan Keegan underwrote and sold. Through the month of October, over $1 billion of Morgan Keegan underwritten auction rate securities have been redeemed or voluntarily repurchase from Eligible Holders. The firm is now in the process of repurchasing eligible Morgan Keegan underwritten securities which were purchased through Morgan Keegan but were subsequently transferred to accounts with other brokerage firms. Repurchase of Auction Rate Securities Sold But Not Underwritten by
Morgan Keegan– Phase II Initiated October 2009

Morgan Keegan recently began the second phase of its auction rate securities repurchase program by offering to purchase certain auction rate securities that Morgan Keegan sold, excluding auction rate securities issued by Jefferson County, Alabama. All Eligible Holders of Eligible Securities, as described in a subsequent section of this web site, will be included in the tender offer mailed the week of October 26, 2009. The firm expects to repurchase up to $17 million of auction rate securities from more than 450 Eligible Holders no later than December 18, 2009.
